Terms of Use for WeCutFoam

1. Acceptance of Terms

Welcome to www.wecutfoam.com (the "Site"), owned and operated by WeCutFoam, located in Sunnyvale, California. By accessing our Site or using our custom fabrication services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or Services.

2. Services and Custom Orders

WeCutFoam specializes in custom foam cutting, CNC machining, prototyping, and related fabrication services.

Quotes: Price quotes provided by WeCutFoam are estimates based on the digital files, dimensions, and specifications provided by the Customer. Quotes are valid for 30 days unless stated otherwise.
Accuracy of Information: You are responsible for providing accurate dimensions, files (CAD, vectors, etc.), and material specifications. We are not responsible for errors resulting from incorrect data provided by the customer.
Tolerances: Custom manufacturing involves physical tolerances. While we strive for high precision, slight variations consistent with industry standards for foam cutting and machining may occur.

3. Intellectual Property Rights

A. Customer's Intellectual Property

You retain ownership of all files, designs, and specifications you submit to us. By submitting these materials, you grant WeCutFoam a non-exclusive, royalty-free license to use, reproduce, and modify these designs solely for the purpose of fulfilling your order.

B. Copyright Indemnification

Crucial: You represent and warrant that you own or have the necessary rights/licenses to use any designs, logos, or characters you submit to us for fabrication.

You agree to indemnify and hold harmless WeCutFoam from any legal claims, damages, or costs arising from allegations that the work we produced for you infringes on the intellectual property rights (trademark, copyright, or patent) of a third party.

C. Our Intellectual Property

All content on this Site, including text, graphics, logos, images, and software, is the property of WeCutFoam and is protected by United States and international copyright laws.

4. Payment Terms

Payment: Unless otherwise agreed in writing, payment is due upon receipt of the invoice or prior to the commencement of work, unless you have Net payment terms agreement with us. We accept major credit cards, checks, wire transfers and ACH payment.
Deposits: For large custom projects, WeCutFoam reserves the right to require a non-refundable deposit (either 25% or 50% deposit) before purchasing materials or scheduling machine time.

5. Cancellations and Returns regarding Custom Work

A. Cancellations

Orders may be cancelled only with our written consent. If you cancel an order after work has begun or materials have been ordered, you will be responsible for all costs incurred up to that point, including labor and material fees.

B. Returns and Refunds

All sales are final on custom-fabricated products. Because our products are made to your specific custom requirements, we cannot accept returns or offer refunds unless there is a clear manufacturing defect or an error on our part (e.g., the product differs significantly from the approved proof/dimensions).

Inspection: You must inspect your order upon delivery. Any claims for shortages, damages, or defects must be made in writing within three (3) business days of receipt.

6. Shipping and Delivery

Timeline: Turnaround times are estimates and are not guaranteed. We are not liable for delays caused by shipping carriers, material shortages, or acts of God.
Risk of Loss: All items are shipped "FOB Origin" (Free On Board). This means that the risk of loss and title for such items pass to you upon our delivery to the carrier (e.g., UPS, FedEx, Freight). We are not responsible for packages lost or damaged in transit, though we will assist in filing claims where applicable.

7. Limitation of Liability

To the fullest extent permitted by law, WeCutFoam shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption, arising out of or related to your use of the Site or our Services.

Liability Cap: In no event shall WeCutFoam’s total liability to you for all damages exceed the amount you paid to WeCutFoam for the specific order giving rise to the claim.

8. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Dispute Resolution: Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Santa Clara County, California, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Modifications

We reserve the right to change these Terms at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
